CPA By-Laws “CHRIST PREPATORY ACADEMY” GOVERNING BY-LAWS PREAMBLE STATEMENT OF FOUNDING IDEALS CHRIST PREPARATORY ACADEMY, INC. It is recognized that the successful continuation of founding ideals can only be achieved when the institution’s successors intimately understand and are committed to the preservation of those ideals. It is the intent of these Bylaws to preserve these ideals through rule for governance and also give revelatory testimony to them. Christ Preparatory Academy was founded to serve the Kingdom of God. Its effectiveness in doing so is of prime concern. This goal is achieved through efficacious administration of excellent education, excellent foundations in a Biblical world-view, excellent values and the nurturing of a clear ambition for God’s purpose in the lives of its students by parents, pastors, teachers and peers. It is hoped that through such equipping each of its students will use their talents, gifts and abilities to impact this world for the purposes of God, through Christ Jesus, in a profound and obvious way. Christ Preparatory Academy is a Christian ministry, ultimately preserved and supported by the sovereignty of God alone, and stewarded by the families that are united through its ministry. The founding of Christ Preparatory Academy recognizes this dependence on His divine providence coupled with the skillful administration of its stewards. The future of Christ Preparatory Academy shall always be directed by God’s ultimate glory rather than the benefit, mutual or otherwise, of its participating families as it is understood that the edification of the body of believers is the end result of the edification of the Father. May this document always serve as a rudder to hold ARTICLE I CHRIST PREPARATORY ACADEMY, INC The name of this ministry is CHRIST PREPATORY ACADEMY, Inc, a non-profit corporation. ARTICLE II VISION STATEMENT Helping parents prepare college-worthy, character witnesses of Christ for the next generation! ARTICLE III MISSION STATEMENT/PURPOSE Christ Preparatory Academy, Inc. exists to love and glorify God, help fulfill the Great Commission, affirm and encourage parents, educate students with excellence, integrate home and school learning and experiences, and reach out to other communities by - Overseeing the academic education and related family ministries of Christ Preparatory Academy, Inc. (A University-Model School®) and by - Encouraging the start-up and development of other University-Model Schools® wherever parents and educators demonstrate interest in providing such a ministry in their own communities. ARTICLE IV GUIDING PRINCIPLES 1. Love and Glorify God as He is revealed in the Holy Bible. “Jesus replied: `Love the Lord your God with all your heart and with all your soul and with all your mind.' This is the first and greatest commandment” (Matt. 22:37-38). “And whatever you do, whether in word or deed, do it all in the name of the Lord Jesus, giving thanks to God the Father through him” (Col. 3:17). “So, whether you eat or drink or whatever you do, do it all for the glory of God” (1 Cor. 10:31). The Holy Bible is our standard of truth and final authority for faith and practice in all matters relating to this ministry. Our chief aim is to love and glorify God through everything we do. 2. Help Fulfill the Great Commission (Matt. 28:18-20). The governing imperative verb of Christ’s Great Commission in Matthew’s gospel is “disciple” or “make disciples.” Members of Christ’s churches, therefore, are commanded to make disciples among all peoples by “going, baptizing, and teaching.” They are to do so in the confident assurance that all authority is given to Christ and that always He will be with them. This ministry seeks to build up the body of Christ by cooperating with Christ’s Great Commission purpose, encouraging all men, women, boys and girls to be both personal disciplined followers and public character witnesses of the Lord Jesus Christ everywhere they go. 3. Affirm and Encourage Parents in their God-given opportunities and responsibilities. “Love the LORD your God with all your heart and with all your soul and with all your strength. These commandments that I give you today are to be upon your hearts. Impress them on your children. Talk about them when you sit at home and when you walk along the road, when you lie down and when you get up” (Deut. 6:5-7). The first two instructions to God’s people after the original giving of the Great Commandment was that they (1) keep God’s commandments in their hearts and (2) teach those commandments in their homes. Parents are God’s first plan, His single most effective agents for spreading the Gospel to children and discipling young believers. The vast majority of Christians come to a “saving faith” in Christ when they are children, under the influence of their parents; furthermore, the successful sharing of a parent’s faith and values is best facilitated when actively-involved parents take the time, make the opportunity, and employ the tools needed for developing close, loving, and nurturing relationships with their children. Whether the issue is instilling positive traits (e.g. respect for authority, personal integrity, honesty, dependability, loyalty, and commitment) or avoiding negative consequences (e.g. teenage suicide, substance abuse, adolescent violence, sexual promiscuity, and teenage pregnancy) parents must take their proper place on the front line. If the influence of parents ever breaks down, the cost will be measured in lost souls. The percent of children who come to faith later in life is so small, and the consequences of a negative, neglected childhood are so great, that the positive influence of parents early in life must command our utmost attention and priority. 4. Educate with Excellence in a Christ-centered environment. “Whatever you do, work at it with all your heart, as working for the Lord, not for men, since you know that you will receive an inheritance from the Lord as a reward. It is the Lord Christ you are serving” (Col. 3:23-24). Children, like their Lord, are to keep “increasing in wisdom and stature, and in favor with God and man” (Luke 2:52). Likewise, “Blessed is the man who finds wisdom, the man who gains understanding” (Pro. 3:13). Also, “Instruct a wise man and he will be wiser still; instruct a righteous man and he will add to his learning (Pro. 9:9). If we are to teach and instruct students “as working for the Lord,” the standard of our performance can be nothing less than excellence, taking into account applicable research and the best relevant practices concerning teaching and learning. 5. Integrate Home and School in age-appropriate ways throughout the curriculum design and student activities. A Christian, University-Model School® exists to assist parents with the modern-day difficulties of preparing their children for college while also recognizing and supporting the parents’ unique role in communicating their faith and values. For parents to succeed in their all-important task of discipleship, it is essential for families to experience meaningful time together. Traditional school systems, by their very structure, tend to rob parents and students of this most precious commodity. UMS gives time and access back to parents in exchange for their commitment to be academically and relationally involved with their students outside of class according to the college-preparatory, curriculum design. Such involvement, when lovingly and joyfully administered, leads to greater opportunity for parents to succeed in teaching their most important “subjects” – faith, hope, and love. This good-faith partnership between parents and teachers makes home and school integration for a family-strengthening, quality education both possible and practical. 6. Reach Out to Other Communities. God’s blessings are for the glory of His name and the enrichment of our world. If an educational approach, such as University-Model Schooling®, can successfully demonstrate that a high quality, college-preparatory education can be provided in a manner that also protects and even enhances the roles of parents in the discipleship of their children, then it is right and proper to do everything possible to communicate that approach with anyone who needs and wants it. As this ministry experiences God’s blessings, therefore, it will be about the business of sharing those blessings with “the world.” ARTICLE V SPIRITUAL OBJECTIVES SECTION 1: GENERAL The Spiritual Objective of Christ Preparatory Academy, Inc, is to encourage its students, families, and staff members to live and work whole-heartedly for the Lord and for the building of His body, the Church. We further wish to encourage all associated with this ministry to live in ever increasing obedience to Him by bringing all facets of their lives under His control and authority (Matt. 22:37-40). Parents, staff, and board members, therefore, must be in agreement with the ministry's statements of faith and of non-affiliation, and with the its non-denominational position. SECTION 2: STATEMENT OF FAITH CHRIST PREPARATORY ACADEMY (CPA) is a private, Parent-based Christian School whose purpose is to provide its students with a comprehensive, college preparatory education from a Christian perspective. This comprehensive approach is accomplished through an educational format that makes provision for both trained classroom instruction and individualized parent involvement.
1. General
The Spiritual Objective of Christ Preparatory Academy is to provide it students, parents, and staff with a Christian environment that is conducive to the Christian growth and maturity of each. Parents, staff, and school board members must, therefore, be in agreement with the school's statement of faith, with the school's statement of affiliation, and with its position as a non-denominational school.
2. Statement of Faith
a. We believe the Bible to be the inspired, the only infallible, authoritative, inerrant Word of God (2 Timothy 3:15; 2 Peter 1:21)
b. We believe there is only one God, eternally existent in three persons - Father, Son and Holy Spirit (Genesis 1:1; Matthew 28:19; John 10:30).
c. We believe in the deity of Christ (John 10:33); His virgin birth (Isaiah 7:14; Matthew 1:23; Luke 1:35); His sinless life (Hebrews 4:15; 7:26); His miracles (John 2:11); His vicarious and atoning death (1 Corinthians 15:3; Ephesians 1:7; Hebrews 2:9); His resurrection (John 11:25; 1 Corinthians 15:4); His ascension to the right hand of the Father (Mark 16:19); His personal reborn in power and glory (Acts 1: 11; Revelation 19:11).
d. We believe in the absolute necessity of regeneration by the Holy Spirit for salvation because of the exceeding sinfulness of human nature, and that men are justified on the single ground of faith in the shed blood of Christ and that only by God's grace and through faith alone we are saved (John 3:16-19: 5:24; Romans 3:23: 5:8-9; Ephesians 2:8-10; Titus 3:5).
e. We believe in the resurrection of both the saved and the lost: they're saved unto the resurrection of life, and they that are lost unto the resurrection of damnation (John 5: 28-29)
f. We believe in the spiritual unity of believers in our Lord Jesus Christ (Romans 8: 9: 1 Corinthians 12: 12-13; Galatians 3: 26-28).
g. We believe in the present ministry of the Holy Spirit by whose indwelling the Christian is enabled to live a godly life (Romans 8: 13-14: 1 Corinthians 3:16; 6: 19-20: Ephesians 4:30; 5:18).
3. Statement of Affiliation
Christ Preparatory Academy neither supports nor endorses the World Council of Churches, National Council of Churches, or any other world, national or regional organization, which give Christian recognition to unbelievers or which advocates multi-faith union. (Amos 3:3, II Cor. 6:14-17) 4. Non-Denominational Position
This school's Statement of Faith is fundamental to basic Christian tenets and contains those doctrines to which we unreservedly adhere and teach. It is our desire to maintain this position and to do so in all fairness to each family. It is necessary; therefore, that parents, students, staff, and school board members recognize that the following areas are to be left to the teaching of home and church:
a) Church government-authority
b) Time and mode of baptism
c) Security of the believer
d) Timing of future events
e) Second work of grace-baptism of the Holy Spirit
f) Gift of the Spirit-tongues, interpretation of tongues, healing, miracle working, discerning of spirits
In honoring this desire concerning the outreach of this school, there will be no attempt made by parents, students, staff, or school board members to promote these denominational positions. We desire to remain united in the salvation and love of Christ, avoiding the dissension, which may be caused by denominational distinctives.

In honoring this desire concerning the outreach of this ministry, there shall be no attempt made by parents, students, staff, or Board Of Directors members to promote or disparage any doctrinal or denominational beliefs, practices, or positions regarding issues upon which the ministry itself has assumed no official stance. We desire to remain united in the salvation and love of Christ, avoiding the dissension, which may be caused by denominational distinctives. ARTICLE VI STATEMENT OF NON-DISCRIMINATION Christ Preparatory Academy, Inc, shall make no distinction in its admission or operating policies with regard to an individual's race, color, or national and ethnic origin because we recognize that there can be no preferential treatment with God (Romans 2:11). ARTICLE VII GOVERNMENT SECTION 1: FUNDAMENTAL GOVERNING STANDARD Now these [the Bereans] were more noble-minded than those in Thessalonica, for they received the word with great eagerness, examining the Scriptures daily, to see whether these things were so. --Acts 17:11 Out of a deep reverence for God our Father and for our Lord and Savior Jesus Christ, and in response to His explicit teachings and commands (cf. Isaiah 66:1-2; Matt. 28:19-20; Luke 6:46-49), Christ Preparatory Academy, Inc, affirms that the Word of God, that is, the Old and New Testaments of the Holy Bible, is the fundamental and sole final governing authority of this ministry. All policies and practices adopted by the Board Of Directors must be in harmony with these sacred Scriptures. SECTION 2: IMPLEMENTATION OF THE LORD'S COMMANDS Therefore putting aside all filthiness and all that remains of wickedness, in humility receive the word implanted, which is able to save your souls. But prove yourselves doers of the word, and not merely hearers who delude themselves. --James 1:21-22 While endeavoring to consistently put into practice what we know we ought to do, all members of the Board Of Directors of Christ Preparatory Academy, Inc, commit themselves to be accountable to each other and to the ministry community to put into practice what they in good faith best understand to be the commands of the Lord Jesus Christ, as they are given in the Word of God. ARTICLE VIII BASIC ORGANIZATIONAL STRUCTURE Christ Preparatory Academy, Inc, is a ministry wholly governed and staffed by professing Christians. Schematically, the ministry's organizational structure is as follows: HOLY BIBLE BOARD OF TRUSTEES | CORPORATE ARTICLES & BY-LAWS | BOARD OF DIRECTORS | PRINCIPAL SCHOOL PERSONNEL | ARTICLE IX BOARD OF DIRECTORS SECTION 1: GENERAL a. The Head and supreme authority of this ministry is the Lord Jesus Christ Himself (Eph. 1:22; Col. 1:18). His will, which will be discerned through the prayerful and appropriate application of His written Word (cf. 2 Tim. 2:15), must be followed in all matters pertaining to this ministry. b. The overseers of the ministry--that is, those who have been given responsibility for its government--will be the members of the Board Of Directors. There will, however, be oversight of the Board Of Directors by a Board of Trustees, but only in the specific areas outlined in these bylaws. All references to the term “board” in these bylaws will refer to the Board Of Directors unless specifically referenced as Board of Trustees or Trustees. c. The authority of the Board Of Directors members is invested in the board as a corporate whole rather than in the members individually. d. The Board Of Directors shall be responsible for establishing, within the confines of the ministry’s established by-laws, the remaining governing policies for the ministry. e. The Board Of Directors operates under the authority of the bylaws and guiding principles contained within this document, which are established and amended by The Board Of Trustees. SECTION 2: QUALIFICATIONS FOR BOARD OF DIRECTORS MEMBERS a. Board members should exemplify a mature and active faith in Christ, including a clear working knowledge of and loyalty to the Word of God. b. Board members should have a meaningful involvement in and the endorsement of a Bible-believing local church whose doctrine and practice bears no contradiction to the basic doctrine and practice of this ministry. c. Board members should have a sincere interest in the spiritual life and Christian education of children. d. Board members should have a sincere interest and deep belief in the need for this ministry to use its programs to help parents prepare college-worthy, character-witnesses of Christ for the next generation, and therefore to bear witness in all the world with integrity. e. Board members must possess the necessary time and commitment to oversee one committee. f. Board members must sign the Christ Preparatory Academy statement of faith. SECTION 3: BOARD OF DIRECTORS POSITIONS There will be at least five but no more than nine board members. The board will strive to maintain a seven-member board. The board shall be comprised of both male and female members. Ideally, the board is comprised of no less than several male and female members each [Eccl. 4:12]. SECTION 4: BOARD MEMBER TERMS OF OFFICE Inasmuch as the leaders of God's people are called to or dismissed from their tasks by God Himself, and so serve at His pleasure (Daniel 4), this ministry will not pre-determine how many terms a board member may serve in that capacity in this ministry, but there must be at least a one-year refreshment period between terms. A board member, once appointed, shall serve a minimum of a one-year term and a maximum of a three-year term. SECTION 5: DUTIES AND RESPONSIBILITIES OF BOARD OF DIRECTORS MEMBERS a. The Board Of Directors, as a whole, is the governing board and is responsible to guard and oversee the ministry that has been placed under its care in all matters within the legitimate jurisdiction of Christ Preparatory Academy, Inc (Acts 20:28), but is subject to obtaining Board Of Trustee approval to make decisions concerning specific areas as outlined in these bylaws in Article XI, Section 5 titled “Duties And Responsibilities Of The Trustees”. b. The Board Of Directors, as a whole, is responsible for determining the policies, which further govern Christ Preparatory Academy, Inc. c. Each board member should also remain actively involved as a servant within the ministry in some role other than that of a Board Of Directors member. Each board member shall serve by leading or being a member on no less than one committee. d. The following committees shall always include, but are not limited to the following committees within Christ Preparatory Academy: Development Committee, Finance Committee (includes legal and facility), Academic Committee, Activity Committee (includes athletics, clubs, drama, music and the arts), Nominating Committee & Communication Committee. SECTION 6: SELECTION PROCESS a. Any current Board Of Directors member or board trustee may nominate for membership on the Board Of Directors any individual they feel is properly qualified. A member of the school community may also recommend an individual to a current board member or trustee, who at their discretion may then elect to nominate that individual for service on the Board Of Directors. b. Before a potential nomination is officially contacted about allowing their name to be submitted, the person’s name shall be mentioned before the whole Board Of Directors to see if any other member is aware of a reason that the person would not be qualified. If Board Of Directors know no such reason and approve, then the nominating board member shall make contact with the potential nominee and secure permission from the candidate for their name to be officially submitted. c. When the potential nominee is contacted for their permission to be nominated, the nominating board member will provide the candidate with the appropriate documents that describe the basic nature of Board Of Directors member service. An appropriate amount of time shall then be given for the candidate to read the documents and prayerfully seek whether the Lord is leading them to allow their name for nomination. d. If the candidate allows their name for nomination, then the Board Of Directors will have the responsibility to prayerfully determine whether the candidate meets all necessary qualifications, has within them the proper spirit of servant hood, and meets the approval of all current members of the Board Of Directors. e. Should a nomination meet board, the nominee will be appointed and invited to begin serving at the time determined by the sitting Board Of Directors. The newly nominated board member should be convinced that the Lord is calling them to serve as a leader of this ministry and to accept all the responsibilities that accompany their board position before accepting the board appointment. f. Following their election, the Secretary shall record the date of election and name of the newly elected board members in the board minutes. SECTION 7: DISMISSAL OF A BOARD OF DIRECTORS MEMBER a. First, the board will receive (i.e., formally address) an accusation against a board member only on the "basis of two or three witnesses" (1 Tim. 5:19). Because of what the Lord taught in Matthew 18:15-17, anyone bringing a charge against a board member will be strongly encouraged to approach the member personally. If they elect not to do so, the board member accused of fault or failure will be informed of the identity of the one bringing the charge against them, so that they might seek to reconcile with that individual, as commanded by the Lord in Matthew 5:23-24. b. Should there be two or more witnesses bringing an accusation against a board member, the charge will be formally addressed (investigated and discussed as necessary) by the board. If the accusation is not legitimate, the matter will not be investigated further, and the plaintiffs will be informed of the board's judgment in the matter. If on the other hand, the charge is deemed to be legitimate, the board will take steps, which may be necessary, including removing the offending member from the board. c. A board member may also be removed from the board by the Board Of Directors should it become evident through their words or actions that he no longer supports the general direction or purposes of the ministry and so has become a divisive influence among the ministry's leadership (Titus 3:9-11). d. All actions taken with regard to the removal of a member from the board must follow the board's standard operating procedures for the conduct of business (see Section 8 below). SECTION 8: CONDUCT OF BUSINESS Unanimity is the goal, but the chairman decides on a super majority versus a simple majority. a. A quorum shall consist of a majority of the total membership of the Board Of Directors. b. Every effort will be made to achieve unanimity in decisions among the members of the board (Phil. 2:1-4; cf. Acts 15, especially v 22), but a simple majority will determine all voting decisions, except when the board Chairman of the board decide that a super majority is appropriate for an important issue. The Chairman of the board shall decide the issue in the event of a tie. On these occasions, each board member shall commit all dissenting opinions to the Lord, submit to the authority of the board as a whole and to the chairman, and support the decision of the board and chairman both publicly and privately. c. At its discretion, the Board Of Directors may delegate decision-making authority to other individuals or committees within the ministry community (Ex. 18; Num. 11). d. In any decisions involving the membership or board officer status of a given member, the vote of the given board member will not be considered for the purpose of rendering a decision. e. Ultimate accountability for the results of policy decisions made relative to the governing and oversight of Christ Preparatory Academy, Inc, rests with the Board Of Directors. ARTICLE X BOARD OF DIRECTORS OFFICERS SECTION 1: GENERAL The officers of the board will provide leadership within the board as well as fulfilling other special responsibilities, as described below. SECTION 2: OFFICER POSITIONS AND RESPONSIBILITIES a. Chairman: The chairman shall preside over all board meetings and shall be responsible fordirecting the work of the board in general. In the event that the ministry should find itself without a head administrator, then it shall be the chairman's responsibility to serve as or appoint an interim head administrator to serve until such time as the Board Of Directors can convene to appoint an interim or a permanent head administrator. b. Vice-Chairman: The vice-chairman of the Board Of Directors shall assist the chairman in the performance of their duties and shall also assume the responsibilities of the chairman in his absence or inability to act. c. Secretary: The secretary shall be responsible for keeping an official record of each board meeting and for handling any needed correspondence related to the board. d. Treasurer: The Board Of Directors treasurer shall be responsible for overseeing the financial records of the ministry. SECTION 3: TERMS OF OFFICE Board officers shall serve three-year terms (June 1 - May 31) or the remainder of a three-year term if elected to fill a position during a regular term. SECTION 4: QUALIFICATIONS Since all board members must meet the general qualifications, all should be fit, in general terms, for leading the board as well as leading the ministry. The only additional qualification for board officers is that they have given at least one year's satisfactory board service before being appointed to leadership positions on the board (unless the service requirement naturally prevents the filling of an officer position). This qualification is based on the belief that those functioning as "firsts among equals" should be experienced individuals who have been sufficiently tested and proven before assuming such a responsible office (1 Tim. 5:22; cf. Prov. 22:29). SECTION 5: SELECTION PROCESS a. Any board member may be nominated to serve as an officer of the board. They must be nominated by another board member, and must express a willingness to serve in the office for which they have been nominated before they can be formally considered for office. All nominations must be made and accepted in advance of the meeting in which officers are to be selected (prior to the end of the office term). b. Once all nominations have been made, the sitting board chairman will announce the various nominations to the entire board. Any nominee may at that time elect to decline their nomination to a given office in favor of other nominees for the same office. If, following the announcement of the various nominations, there remain multiple nominations for one or more offices the other board members will be instructed to prayerfully consider which one of the remaining nominees they would each prefer to fill the office(s) in question. The board chairman will be informed of these preferences before the following meeting, which may be called for the express purpose of finishing the process of appointing officers. c. During the meeting in which the board seeks to finish the process of appointing officers, the board chairman will report the most commonly stated preference for each contested office. They will then ascertain if the remaining nominees and their supporters are willing to defer to the preference of the majority. If they are, the nominee preferred by the majority will be entrusted with the office; if they are not, the matter will be resolved through the standard operating procedures (conduct of business) described in Article IX, Section 8 above. SECTION 6: DISMISSAL PROCESS a. In general, a board officer may be asked by the Board Of Directors to vacate their office if, after due and responsible investigation and deliberation (which includes opportunities for the officer in question to offer a defense of their actions), they are found to be unwilling or unable to meet the additional responsibilities attached to that office. If they willingly comply, another will be appointed to take their place in that office in accordance with the selection guidelines. b. Any board officer may vacate their office at any time should he feel that they are no longer able to fulfill their responsibilities as they ought. Should this occur, the vacant office will be filled as soon as it is responsibly possible, in accordance with the selection guidelines. c. A board member asked by the board to vacate their office but who refuses to do so willingly may be removed from not only their office but also from the board itself, since their refusal to accept correction may render them unqualified to serve not only as an officer but also as a board member. A board member is dismissed by a super majority vote by the Board Of Directors. d. Any board member who willingly vacates their office will not be removed from the board itself unless there are other reasons to warrant such a removal. ARTICLE XI THE BOARD OF TRUSTEES SECTION 1: PURPOSE The Board Of Trustees, as a whole, is entrusted with the responsibility of ensuring that the purpose and mission of this organization remains consistent, as defined by the guiding principles in Articles II, III, IV and the bylaws. Although the Board Of Trustees are not involved in the policy making role as that of the Board Of Directors, trustees are involved, as outlined in these bylaws, in specific decisions where the Board Of Directors must have Board Of Trustee approval (unless the Board Of Trustees has yet to form as a functioning board). SECTION 2: QUALIFICATIONS FOR TRUSTEES a. Trustees may be any individual who has served CPA for three years in a key leadership or managerial role, including but not limited to the board of directors, administrator or other key positions. b. Trustees should continue to meet all of the qualifications listed in these bylaws for the Board Of Directors members. c. A trustee cannot serve simultaneously as a Board Of Directors member and also as a trustee. A trustee, therefore, must resign from the Board Of Directors in order to become a trustee for the ministry. SECTION 3: BOARD OF TRUSTEE POSITIONS There will be at least three but no more than seven positions on the Board Of Trustees [Eccl. 4:12]. SECTION 4: TRUSTEE TERMS OF OFFICE a. The Board Of Trustees will officially begin serving its purpose when the first three (or more) qualified Board Of Directors members leave the Board Of Directors to form the initial Board Of Trustees. b. Once the Board Of Trustees is formed, the terms of office for trustees will be handled in a manner similar to that of the Board Of Directors. Inasmuch as the leaders of God's people are called to or dismissed from their tasks by God Himself, and so serve at His pleasure (Daniel 4), this ministry will not pre-determine how many terms a board member may serve in that capacity in this ministry, but there must be at least a one-year refreshment period between terms. A Board Of Trustees member, once appointed, shall serve a minimum of a one-year term and a maximum of a five-year term. SECTION 5: DUTIES AND RESPONSIBILITIES OF THE TRUSTEES a. The following decisions represent those specific areas where the Board Of Directors must have the approval of the Board Of Trustees before the decision(s) can be finalized. The Board Of Trustees may review, restrict or reverse the decision of the Board Of Directors were the Board of Trustees to find that such a decision was in violation of the vision, mission, guiding principles (as outlined above in Articles II, III, and IV) or bylaws, as contained within this document: 1. Decisions to change the “Foundation Policy” or the “Organizational Policy” sections of the Board Policy Manual. 2. Decisions regarding removing current Board Of Directors members by their peers prior to the completion of their term. 3. Decisions regarding firing or removing the Head Administrator from office. 4. Decisions to initiate or change the ministry’s membership, certification, or accreditation status with different organizations, including but not limited to the National Association of University Model Schools (NAUMS). 5. Decisions to change the location of the ministry or to buy and sell real estate. 6. Decisions regarding the use of any endowment funds that the ministry might have. 7. Decisions to alter or amend the name “Christ Preparatory Academy”, its non-profit status or its corporation. 8. Decisions to alter or deter Christ Preparatory Academy from functioning as an educational institution that is “home school friendly”. 9. Decisions to alter or deter Christ Preparatory Academy from functioning as an educational institution that is “college preparatory” and non-remedial (either character or academic), with the express purpose of preparing students for college. b. Only the Board Of Trustees has the authority to change the ministry’s guiding principles and bylaws. c. If the Board Of Directors should ever find itself in a situation where it has fewer than the number of members required in the bylaws for the board to govern or if the Board Of Directors refuses to abide by the bylaws, then one or more members of the Board Of Trustees will serve on the Board Of Directors until such time as the Board Of Directors meets the bylaw requirements. d. Each trustee should also serve as an active role model for servant leadership and should remain actively involved as a servant within the ministry in some role other than that of a trustee. e. Regular prayer for the needs of the ministry and those involved in the ministry should be a consistent responsibility and a constant concern of each trustee. f. The Board Of Trustees, in an effort to protect and preserve Christ Preparatory Academy or it’s mission as is stated in these bylaws and guiding principles may, by unanimous vote, review, restrict or reverse board member appointments or dismissals and review and reverse the hiring and firing of employees. g. The Board Of Trustees, in an effort to protect and preserve Christ Preparatory Academy or its’ mission as is stated in these bylaws and guiding principles may, when it determines that emergency measures are necessary may, by unanimous vote, seize or freeze school finances and bank accounts or take other protective action, as it deems necessary. SECTION 6: SELECTION PROCESS a. The first three (or more if at the initial forming point for the Board Of Trustees) qualified trustees are automatically approved as a result of meeting the qualifications for a trustee. b. All subsequent qualified board members interested in becoming a trustee must have approval from the current Board Of Trustees. SECTION 7: DISMISSAL OF A TRUSTEE a. First, the Board Of Trustees will receive (i.e., formally address) an accusation against a trustee only on the "basis of two or three witnesses" (1 Tim. 5:19). Because of what the Lord taught in Matthew 18:15-17, anyone bringing a charge against a trustee will be strongly encouraged to approach the trustee personally. If they elect not to do so, the trustee accused of fault or failure will be informed of the identity of the one bringing the charge against him, so that they might seek to reconcile with that individual, as commanded by the Lord in Matthew 5:23-24. b. Should there be two or more witnesses bringing an accusation against a trustee, the charge will be formally addressed (investigated and discussed as necessary) by the Board Of Trustees. If the accusation is not legitimate, the matter will not be investigated further, and the plaintiffs will be informed of the Board Of Trustee's judgment in the matter. If on the other hand, the charge is deemed to be legitimate, the Board Of Trustees will take steps that may be necessary, including removing the offending individual from the Board Of Trustees. c. A trustee may also be removed from the Board Of Trustees should it become evident through their words or actions that he no longer supports the general direction or purposes of the ministry and so has become a divisive influence among the ministry's leadership (Titus 3:9-11). d. All actions taken with regard to the removal of a trustee from the Board Of Trustees must follow the standard operating procedures for the conduct of business (see Section 8 below). SECTION 8: CONDUCT OF BUSINESS a. Every effort will be made to achieve unanimity in decisions among the trustees (Phil. 2:1-4; cf. Acts 15, especially v 22). In the event that total concurrence cannot be achieved on a given matter, the Board Of Trustees should pray, study the Word, gain more knowledge, and deliberate until such time as unanimity is achieved. b. In any decisions involving the membership or board officer status of a given trustee, the vote of the given trustee will not be considered for the purpose of rendering a decision. c. Business can be conducted at a joint meeting of both the Board Of Directors and the Board Of Trustees if both chairmen agree. At joint meetings, the chairman of the Board Of Trustees shall preside. ARTICLE XII OFFICERS FOR THE BOARD OF TRUSTEES SECTION 1: GENERAL The officers of the Board Of Trustees will provide leadership within the Board Of Trustees as well as fulfilling other special responsibilities as described below. SECTION 2: TRUSTEE OFFICER POSITIONS AND RESPONSIBILITIES a. Chairman: The chairman shall preside over all Board Of Trustee meetings and shall be responsible for directing the general work of the Board Of Trustees. b. Vice-Chairman: The vice-chairman of the Board Of Trustees shall assist the chairman in the performance of their duties and shall also assume the responsibilities of the chairman in their absence or inability to act. c. Secretary: The secretary shall be responsible for keeping an official record of each Board Of Trustee meeting and for handling any needed correspondence related to the Board Of Trustees. SECTION 3: TRUSTEE OFFICER TERMS OF OFFICE Board Of Trustee officers shall serve two-year terms (July 1- June 30), or the remainder of a two-year term if elected to fill a position during a regular term. Officers may be appointed to successive terms of office. SECTION 4: TRUSTEE OFFICER QUALIFICATIONS Since all trustees must meet the general qualifications, all should be fit, in general terms, for leading the Board Of Trustees. The only additional qualification for officers is that they have given at least one year's satisfactory Board Of Trustee service before being appointed to leadership positions on the Board Of Trustees (unless the service requirement naturally prevents the filling of an officer position). This qualification is based on the belief that those functioning as "firsts among equals" should be experienced individuals who have been sufficiently tested and proven before assuming such a responsible office (1 Tim. 5:22; cf. Prov. 22:29). SECTION 5: SELECTION PROCESS a. Any trustee may be nominated to serve as an officer of the Board Of Trustees. He must be nominated by another trustee, and must express a willingness to serve in the office for which he has been nominated before he can be formally considered for office. All nominations must be made and accepted in advance of the meeting in which officers are to be selected (prior to the end of the office term). b. Once all nominations have been made, the sitting chairman will announce the various nominations to the entire Board Of Trustees. Any nominee may at that time elect to decline their nomination to a given office in favor of other nominees for the same office. If, following the announcement of the various nominations, there remain multiple nominations for one or more offices, the other trustees will be instructed to prayerfully consider which one of the remaining nominees they would each prefer to fill the office(s) in question. The chairman will be informed of these preferences before the following meeting, which may be called for the express purpose of finishing the process of appointing officers. c. During the meeting in which the Board Of Trustees seeks to finish the process of appointing officers, the chairman will report the most commonly stated preference for each contested office. They will then ascertain if the remaining nominees and their supporters are willing to defer to the preference of the majority. If they are, the nominee preferred by the majority will be entrusted with the office; if they are not, the matter will be resolved through the standard operating procedures (conduct of business) described in Article XI, Section 8 above. SECTION 6: DISMISSAL PROCESS a. In general, a board trustee officer may be asked by the Board Of Trustees to vacate their office if, after due and responsible investigation and deliberation (which includes opportunities for the officer in question to offer a defense of their actions), they are found to be unwilling or unable to meet the additional responsibilities attached to that office. If they willingly comply, another will be appointed to take their place in that office in accordance with the selection guidelines. b. Any board trustee officer may vacate their office at any time should they feel that they are no longer able to fulfill their responsibilities as they ought. Should this occur, the vacant office will be filled as soon as it is responsibly possible, in accordance with the selection guidelines. c. A board trustee officer asked by the board to vacate their office but who refuses to do so willingly may be removed from not only their office but also from the Board Of Trustees itself, since their refusal to accept correction may render them unqualified to serve not only as an officer but also as a trustee. d. Any trustee who willingly vacates their office will not be removed from the Board Of Trustees unless there are other reasons to warrant such a removal. ARTICLE XIIIEXECUTION AND AMENDMENT SECTION 1: EXECUTION These bylaws for CHRIST PREPARATORY ACADEMY, INC, shall become effective upon the unanimous approval of a quorum of at least 2/3’s of the founding parents at a specific meeting called for this purpose. THESE BYLAWS WERE AMENDED AND APPROVED BY A UNANIMOUS VOTE OF BOTH THE BOARD OF TRUSTEES AND BOARD OF DIRECTORS UPON MAY 8, 2008. THOSE VOTING INCLUDED TONY FIELDS, MIKE JONES, JAY PESTINER, RANDY RUSSELL AND TODD WEATHERILT. SECTION 2: AMENDMENT These by-laws may be amended only by the unanimous consent of all members of the Board Of Trustees at a meeting called for this purpose.
